1. Introduction

This Merchant Policy governs the use of the Vyaapar Hub Platform by all merchants, manufacturers, wholesalers, distributors, exporters, suppliers, service providers, and other business entities ("Merchant", "Seller", "You", or "Your").

By registering or using the Platform as a Merchant, You agree to comply with this Merchant Policy, the Terms & Conditions, Privacy Policy, Refund Policy, and all other applicable Platform policies.

2. Merchant Eligibility

To register as a Merchant, You must:

  • Be at least 18 years of age.
  • Have the legal authority to conduct business.
  • Provide complete, accurate, and current business information.
  • Comply with all applicable laws and regulations.

3. Merchant Account

The Merchant is solely responsible for:

  • Maintaining the confidentiality of login credentials.
  • All activities conducted through the account.
  • Updating business information whenever required.
  • Ensuring that account information remains accurate.

4. Business Verification

Vyaapar Hub may request documents for verification, including but not limited to:

  • GST Registration
  • PAN
  • UDYAM Registration
  • Business Registration Certificate
  • Government-issued identification
  • Any other documents considered necessary

Verification does not constitute certification, approval, endorsement, recommendation, or guarantee of the Merchant, products, or services.

The Merchant agrees that business information, logos, trademarks, product images, descriptions, and other business content submitted to the Platform may be displayed, indexed, promoted, marketed, and used by Vyaapar Hub for advertising, search engine optimization (SEO), promotional campaigns, and business directory purposes.

5. Product & Service Listings

Merchants are solely responsible for all listings published on the Platform. All listings must:

  • Be accurate and complete.
  • Contain truthful descriptions.
  • Display genuine product images.
  • Mention correct pricing and specifications.
  • Comply with applicable laws.
  • Respect intellectual property rights.

Merchants must not upload prohibited, illegal, counterfeit, misleading, fraudulent, or infringing products or content.

6. Merchant Responsibilities

The Merchant is solely responsible for:

  • Products and services offered
  • Product quality
  • Product specifications
  • Pricing
  • Inventory
  • Packaging
  • Shipping
  • Delivery
  • Taxes
  • Warranties
  • Customer communication
  • Compliance with applicable laws

The Merchant shall comply with all applicable laws, rules, regulations, taxation requirements, intellectual property laws, consumer protection laws (where applicable), and any other legal obligations relating to its business.

The Merchant shall be solely responsible for GST, taxes, invoicing, statutory compliances, and all tax-related obligations applicable to its business.

7. Commercial Transactions

Vyaapar Hub operates solely as a B2B marketplace that enables businesses to connect. Vyaapar Hub is not a buyer, seller, manufacturer, distributor, importer, exporter, agent, or reseller.

All negotiations, quotations, purchase orders, agreements, pricing, payments, deliveries, warranties, returns, refunds, and after-sales obligations are solely between the respective Buyer and Merchant unless expressly stated otherwise by Vyaapar Hub.

8. Prohibited Activities

Merchants shall not:

  • Provide false or misleading information.
  • Misrepresent products or services.
  • Upload fake or unauthorized content.
  • Sell prohibited or illegal products.
  • Infringe third-party intellectual property rights.
  • Engage in fraud, deceptive practices, or unlawful activities.
  • Attempt unauthorized access to the Platform.
  • Interfere with the operation or security of the Platform.

Merchants shall not misuse buyer information, send unsolicited communications, scrape Platform data, or use the Platform for spam, phishing, or unauthorized marketing.

9. Intellectual Property

Merchants represent and warrant that they own or have all necessary rights to use any trademarks, logos, product images, descriptions, documents, and other content uploaded to the Platform.

The Merchant shall remain solely responsible for any intellectual property claims arising from such content.

10. Suspension or Termination

Vyaapar Hub reserves the right, at its sole discretion, to suspend, restrict, remove listings, or terminate any Merchant account that violates this Merchant Policy, the Terms & Conditions, applicable laws, or any Platform policy.

11. Disclaimer

Vyaapar Hub provides only an online technology platform that facilitates business discovery and communication between businesses. Vyaapar Hub does not manufacture, own, purchase, sell, inspect, test, certify, endorse, recommend, store, package, ship, deliver, install, or guarantee any product or service listed on the Platform.

Listing of any Merchant, product, or service on the Platform does not constitute an endorsement, recommendation, verification, or guarantee by Vyaapar Hub.

The Merchant acknowledges and agrees that participation on the Platform is entirely at its own risk and discretion. Vyaapar Hub does not guarantee business opportunities, inquiries, sales, revenue, profits, customer acquisition, or commercial success.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Vyaapar Hub shall not be liable for any direct, indirect, incidental, consequential, special, or business losses arising from or relating to:

  • Merchant products or services
  • Product quality or specifications
  • Pricing or quotations
  • Payments
  • Delivery or shipping
  • Delays
  • Returns or refunds
  • Warranties
  • Buyer–Merchant disputes
  • Business decisions made by users
  • Any agreement entered into between Buyers and Merchants

In no event shall the aggregate liability of Vyaapar Hub exceed the total amount actually paid by the Merchant to Vyaapar Hub for the relevant services during the twelve (12) months immediately preceding the claim.

13. Indemnification

The Merchant agrees to defend, indemnify, and hold harmless Vyaapar Hub, its owners, directors, officers, employees, affiliates, and representatives from and against any claims, actions, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Merchant's business activities
  • Merchant's products or services
  • Merchant's listings or content
  • Violation of this Merchant Policy
  • Violation of applicable laws
  • Infringement of third-party rights

The obligations under this Section shall survive the suspension or termination of the Merchant account.

14. Force Majeure

Vyaapar Hub shall not be liable for any delay, interruption, failure, or inability to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, floods, earthquakes, fires, pandemics, epidemics, cyber-attacks, internet failures, power outages, government actions, war, terrorism, labor disputes, or other force majeure events.

15. Entire Agreement

This Merchant Policy, together with the Terms & Conditions, Privacy Policy, Refund Policy, Shipping Policy, and other Platform policies, constitutes the complete agreement between Vyaapar Hub and the Merchant.

16. Governing Law & Jurisdiction

This Merchant Policy shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to this Merchant Policy or the Merchant's use of the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Ghaziabad, Uttar Pradesh, India.

17. Dispute Resolution

The Merchant agrees to first make reasonable efforts to resolve any dispute with Vyaapar Hub through mutual discussions.

Where permitted under applicable law, any dispute, controversy, or claim arising out of or relating to this Merchant Policy shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Ghaziabad, Uttar Pradesh, India, and the arbitration proceedings shall be conducted in the English language.

18. Severability

If any provision of this Merchant Policy is held to be invalid, illegal, or unenforceable by any competent court or authority, the remaining provisions shall continue in full force and effect.

19. No Waiver

Failure or delay by Vyaapar Hub in exercising or enforcing any right or provision under this Merchant Policy shall not constitute a waiver of such right or provision.

20. Electronic Acceptance

By registering as a Merchant, accessing, browsing, using the Platform, purchasing any membership, or clicking "I Agree", "Accept", "Register", or any similar electronic consent mechanism, the Merchant acknowledges that it has read, understood, and agreed to be legally bound by this Merchant Policy and all other applicable Platform policies.

21. Confidentiality

The Merchant shall maintain the confidentiality of all non-public information obtained through the Platform and shall not disclose, copy, misuse, exploit, or distribute such information without lawful authorization.

This obligation shall survive the termination of the Merchant account.

22. Survival

The provisions relating to Disclaimer, Limitation of Liability, Indemnification, Confidentiality, Intellectual Property, Governing Law, Dispute Resolution, and any provisions intended by their nature to survive shall remain effective notwithstanding the suspension, termination, or closure of the Merchant account.

23. Policy Updates

Vyaapar Hub reserves the right to modify, amend, replace, or update this Merchant Policy at any time without prior notice. Updated versions shall become effective immediately upon publication on the Platform unless otherwise specified. Continued use of the Platform after such publication shall constitute acceptance of the revised Merchant Policy.
